It's a protected file, meaning it can only be played in iTunes (and only the version that has the key for which it was bought). If you want to convert it, you have to do so IN iTunes... or burn a disc and re-rip it.
(At least as far as I know)
If it's a file you purchased on iTunes, it can be played on up to five different PCs or Macs as long as you authorize them.
